Terms of Service
Last updated 1 November 2026 · Ornyth
These terms govern the use of the Ornyth website and the software development and business research services we provide. By requesting a sample, accepting a quote or using our deliverables, you agree to them. If anything needs discussion before you order, we would rather talk it through first — email sales@ornyth.co.
1. Who these terms are between
These terms are an agreement between you ("the client") and Ornyth ("we", "us"), a software and research company. They apply together with the written quote or scope we agree for each project, which prevails over these terms where the two conflict.
2. What we provide
Ornyth operates two service divisions. Through Ornyth Studio we identify operational challenges and build practical software: business-specific applications, internal systems, AI and business automation, websites and e-commerce, mobile applications, and cloud infrastructure — from process audit to delivery. Through Ornyth Leads we research, verify and deliver business information: B2B lead lists, enriched company records, market and competitor research, decision-maker research and custom research.
Every project is scoped individually before work begins. Research projects agree the target profile (industry, geography, company types, roles), the fields to be researched, the expected record count and the delivery format (Excel, CSV or Google Sheets); software projects agree the scope, technical approach, deliverables and timeline in a written specification. We research information from publicly available sources and verify it ourselves; we do not resell third-party databases.
3. Orders, quotes and delivery
- A project starts when you accept our written quote, which forms part of the agreement.
- Commissioned projects are confirmed in a short Deal Confirmation — a two-page order summary that both parties sign before work begins, recording the service, the agreed specification (for research: the target profile, record count, delivery format and date; for software: the scope, deliverables and timeline), and the fee. For any order with a signed Deal Confirmation, that document prevails over these Terms where the two conflict, and is the written benchmark for quality, scope and any refund question under the Refund Policy.
- Timelines we give are good-faith estimates; research quality takes precedence over speed, and we will tell you promptly if anything changes.
- Deliverables are provided in the agreed format at the agreed scope. If a delivered record is wrong or outdated, section 5 sets out how we make it right.
4. Fees and payment
Fees are quoted per project and stated on the quote and invoice. Unless the quote says otherwise, invoices are payable within 14 days by bank transfer. We may ask for part-payment up front on first projects. Late payment may pause ongoing work; statutory interest may apply to overdue amounts.
5. Accuracy — our honest standard
We do not guarantee that any research is 100% accurate, complete or current, and we do not guarantee any business outcome. Business data ages quickly: companies move, people change roles, mailboxes close. What we commit to instead is a professional standard of care:
- Every record is researched from public sources and human-verified at the time of delivery, against the fields we agreed.
- If you report a wrong or outdated record within 7 days of delivery, we replace it with a freshly verified record free of charge, no quibble — that promise also appears on our homepage and is part of how we work.
- Where a delivery materially falls short of the agreed specification (record count, agreed fields, target profile) and we cannot correct it in reasonable time, the Refund Policy applies.
- For software projects, acceptance follows the written specification agreed in the Deal Confirmation; components that fall short of it are corrected by us.
- Results such as reply rates, meetings booked, conversions or revenue depend on your offer, outreach and market — they are outside our control and are never warranted.
6. Licence and acceptable use of deliverables
On full payment, you receive a non-exclusive, non-transferable licence to use the deliverables for your own sales, marketing and business development. You must not:
- resell, publish or redistribute the raw lists as data, in whole or in substantial part, without our written consent;
- use the data for any unlawful purpose, for consumer credit checks, employment screening, insurance underwriting, tenant screening or any determination about an individual, or in a way that applies to private individuals rather than businesses;
- contact people in breach of the marketing laws of their jurisdiction — including the UK GDPR and PECR, the EU GDPR and the CAN-SPAM Act — which are your responsibility when you run the outreach;
- send communications that fail to identify you honestly, or ignore opt-out and unsubscribe requests once received.
We may refuse or cancel service if these rules are breached, without refund for work already delivered.
7. Intellectual property
The Ornyth website, brand and research methodology remain our property. The information we deliver consists of facts researched from public sources; your licence to use the deliverables is set out in section 6.
Software that we develop for you under an agreed specification: on full payment, the source code and documentation of the delivered solution are yours — you own the delivered software outright. We retain our pre-existing tools, libraries and general know-how, and we do not reuse your confidential business logic for other clients.
8. Liability
To the fullest extent the law allows: we are not liable for indirect or consequential loss, lost profits, or lost opportunities; and our total liability arising from a project is capped at the fees you paid us for that project. Nothing in these terms excludes liability that cannot lawfully be excluded, such as for fraud or death or personal injury caused by negligence.
9. Confidentiality
Each side keeps the other's non-public information confidential — your briefs, target profiles and business details on one side; our methodology, sources and commercial terms on the other — and uses it only for the project at hand.
10. Term, suspension and termination
Project-based work ends on delivery and payment. Either party may end an ongoing arrangement with written notice; work completed to the date of termination is payable. We may suspend work while an invoice is overdue or while we investigate a suspected breach of section 6.
11. General
If a clause here is found unenforceable, the rest still applies. These terms may be updated from time to time; the version current at the date you accept a quote governs that project. These terms and any dispute are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
